The meeting's length depends on the number of speakers and shareholder and shareholder-representative questions to be answered by the Executive and Supervisory Boards. Thus, this cannot be determined in advance.

You'll find directions (via car / public transportation) and parking informationhere. If you park in the West parking garage, you can trade in your parking ticket for a free exit ticket at our central information desk on the ICM’s ground floor.

Yes, free tickets are available for greater Munich's entire transportation network (buses, street cars, light rail and subway). You will receive these together with your admission ticket.

No, it will not be possible to participate in the meeting via telephone conference or internet. The CEO's presentations and speech will, however, be available on May 8, 2008 from approx. 12:00 noon via our website www.wacker.com/hauptversammlung. You'll find all related documents there.

The meeting will be held in German.

The entrance will be equipped with security check points to guarantee maximum security for all participants. Dangerous items (e.g. weapons, knives, pointed/sharp objects, flammable liquids, etc.) must be checked at the entry point prior to admission. These will be safely stored and can be picked up after the event's conclusion.

The Annual Shareholder Meeting begins at 10:00 a.m. Wacker Chemie AG expects a large turnout, which is why we encourage that you arrive early. Admission is possible starting at 8:30 a.m. Please refer to the invitation for the complete agenda.

The Annual Shareholder Meeting is a stock corporation's key event, which provides shareholders with the opportunity to ask questions and vote. Of course, any shareholder can participate in the meeting directly or via a representative. The preconditions for participation are possession of WACKER shares on the “Record Date” (April 16, 2008, 11:59:59 p.m.) as well as timely registration by, at the latest, April 30, 2008, 11:59:59 p.m.

All shareholders who can prove they owned WACKER shares on April 16, 11:59:59 p.m. and registered with the office listed in the invitation by – at the latest – April 30, 2008, 11:59:59 p.m. may fully participate in the Annual Shareholder Meeting on May 8, 2008.

If you are a shareholder, you will automatically receive an invitation to the Annual Shareholder Meeting via your custodian bank. WACKER shares are not registered shares, but rather bearer shares. Thus, Wacker Chemie AG does not know the identity of shareholders. Your custodian bank is therefore the exclusive contact for invitations.

The meeting's invitation and agenda will be sent to you by your custodian bank starting April 7, 2008.

The meeting's invitation and agenda will be published simultaneously in the electronic German Federal Gazette on March 26, 2008 and in major newspapers on March 27, 2008, as well as on our website www.wacker.com/hauptversammlung.

Since WACKER shares are bearer shares, your custodian bank is therefore the exclusive contact for invitations. If you owned shares on the April 16, 2008 11:59:59 p.m. “record date,” but did not receive an invitation, please contact your custodian bank if you wish to participate in the meeting.

Following timely registration, you will receive your invitation directly from your custodian bank. Please refer to the invitation for more detailed information.

Please observe that the registration office must receive your order by – at the latest – April 30, 2008, 11:59:59 p.m. Subsequent registration is not possible.

All shareholders in possession of more than one share can order up to two admission tickets from the custodian bank. Thus, you are certainly welcome to take a companion with you.

If you have registered for the meeting in time, but have not received the admission ticket (e.g. lost in the mail), you can still attend the meeting. In that case, you need to present I.D. at the registration counter, where your proper registration is then checked. A substitute admission ticket will be issued, allowing you to participate.

Voting rights refer to the share-ownership-related right to participate in Annual Shareholder Meeting votes pertaining to the meeting's agenda.

You can also transfer your voting rights to third parties such as your custodian bank, a shareholder association or a voting proxy named by the company. According to Wacker Chemie AG's articles of incorporation, each share entitles the shareholder one vote at the meeting.

If you cannot participate in the meeting in person, you do have the opportunity to send a representative with proxy voting rights and instructions.

With the form enclosed along with the invitation, you can either participate in person or delegate an authorized representative. If you wish to delegate voting rights to a third party, please fill out, sign and provide the enclosed proxy voting form to your representative.

If you cannot participate in the meeting yourself and do not wish to grant a third party proxy voting rights, we offer you the option of authorizing a company-named proxy voting representative.

If you need to leave the Annual Shareholder Meeting prior to its conclusion, you can entrust another shareholder or a company-named proxy voting representative with the voting rights connected to the shares you own.

If you would like to participate in the debate, we request that you state your name and voting-document number at the relevant desk. Requests to speak should be registered as soon as possible. Registered speakers will then be called upon by the meeting’s moderator during the general debate.

The mandated publication of counter motions is fulfilled via the “Counter motions” link at www.wacker.com/hauptversammlung, insofar as these were sent in writing to the address stated in the invitation by – at the latest – April 23, 2008 (midnight).

The certificate of participation for tax purposes is a part of the voting ticket folder that you will receive at the reception counter after you submit your admission ticket. Please tear off and keep the certificate of participation.
If necessary, guests can have a certificate of participation issued at the information booth on the ground floor.

Yes, both the ICM in general and its auditorium area in particular are handicapped accessible and an elevator is also available. Plus, our Annual Shareholder Meeting staff will be pleased to be of assistance.

Dividends will be paid out to custodian banks on the first business day following the Annual Shareholder Meeting, thus on May 9, 2008. Custodian banks then issue shareholders the credited dividends.

All shareholders who own shares on the day of the Annual Shareholder Meeting, e.g. May 8, 2008, are entitled to receive dividends. There is no minimum ownership period prior to or following the meeting.

The appropriation of profits will be determined during the Annual Shareholder Meeting. The Executive and Supervisory Boards will propose a total dividend of €3.00 per dividend-entitled share.

Yes, you can temporarily leave the meeting. However, when leaving you must sign out at exit security and sign in again upon your return so that the index of participants can be accurately maintained.

No, neither a complete protocol nor video/audio recording of the meeting will be issued.

All electronic media with radio contact (cellphones, BlackBerry handhelds, etc.) are to be turned off during the Annual Shareholder Meeting to prevent disturbances.

Food and beverages will be served in the foyers. We request that you do not bring these into the auditorium area.
